Effective date: October 1, 2026

Version: 1.2

Maison Vin is operated by Maison Vin LLC, doing business as Maison Vin (“Maison Vin,” “we,” “us,” or “our”).

Contact: hello@maisonvin.ai

Mailing address: 200 E 21st Street, New York, NY 10010, USA

Please read these Terms of Use (“Terms”) carefully. By actively accepting them at registration, you agree to these Terms, including the community rules and the limited public-photo permission in Section 4, and acknowledge our Privacy Policy. Do not create an account if you do not agree.

These Terms cover Maison Vin’s website, applications, public pages, member features, and related services (collectively, the “Service”). If you use an account on behalf of an organization, you confirm your authority to bind it to these Terms. Your personal eligibility and responsibility for your own conduct still apply.

IMPORTANT: Section 18 provides for binding individual arbitration and a class-action waiver, subject to stated exceptions. You may opt out within 30 days after first accepting these Terms.

1 The Maison Vin platform

Maison Vin is a social platform for wine lovers. It lets members build a profile, post content, follow other members, message one another, discover restaurant and event information, and independently create or join community events.

Maison Vin welcomes wine lovers and organizers worldwide. Our current event discovery, organizer outreach, and local coverage focus on New York, New Jersey, and Connecticut, with planned expansion over time. If you use the Service from another state or country, you are responsible for complying with your local laws, including local drinking-age and alcohol laws.

Maison Vin does not:

  • sell, furnish, store, procure, broker, ship, deliver, or process payment for alcohol;
  • sell tickets or process payments for events or reservations;
  • own or operate venues;
  • organize, host, supervise, staff, or control member-created events;
  • provide transportation or security;
  • verify the identity, age, background, or statements of any member, host, venue, or organizer.

Maison Vin is not a licensed alcohol retailer, wholesaler, or producer in any jurisdiction and does not hold any liquor license.

2 Eligibility and age

You must be at least 21 years old to create an account or use the Service. By registering, you confirm that you are at least 21 and that the date of birth you provide is true. Providing a false date of birth is a material violation of these Terms and will result in permanent account termination. We may request proof of age at any time and may suspend an account until it is provided.

Maison Vin relies on the date of birth you provide. We do not perform identity or age verification and do not guarantee that every member is 21 or older.

3 Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at hello@maisonvin.ai if you believe your account has been accessed without permission.

You may hold only one personal account. You may not create accounts for others, impersonate anyone, misrepresent your affiliation, or use automated tools to create or operate accounts.

When you register, you actively accept these Terms and acknowledge the Privacy Policy. You agree that your electronic acceptance is your signature to these Terms, including the public-photo permission in Section 4. Acknowledging the Privacy Policy is not a waiver of your privacy rights.

Registration also subscribes you to Maison Vin newsletters and promotional emails. You can unsubscribe at any time through a marketing email or by contacting hello@maisonvin.ai. Necessary account, security, and service messages are separate. This provision does not override any consent requirement imposed by applicable law.

4 Member content

“Member Content” means anything you post or share on the Service: profile information, posts, comments, photos, bottle records, tasting notes, event listings, messages, and links.

Ownership. You keep ownership of your Member Content.

Service license. You grant Maison Vin a worldwide, non-exclusive, royalty-free license, sublicensable to providers helping us operate the Service, to store, reproduce, transmit, technically adapt, and display your Member Content as needed to operate, secure, moderate, and improve the Service, in accordance with its visibility settings and the Privacy Policy. This license does not authorize public disclosure of private content for promotion. This service license ends when the relevant content is permanently deleted, except for uses strictly necessary to handle the recovery period, a lawful preservation duty, or a specific legal claim under the Privacy Policy. The separate promotional permission below has its own duration and withdrawal rules.

Public-photo permission. By accepting these Terms and choosing to post a photo in a feed or event chat visible to the wider Maison Vin members’ community, you grant Maison Vin a worldwide, non-exclusive, royalty-free permission to reproduce, crop, resize, caption, and publish that photo on Maison Vin’s own social media accounts to promote Maison Vin, including paid or boosted promotion of those social media posts. You expressly consent in writing, through your electronic acceptance, to use of your likeness and the display name or handle accompanying that photo for those purposes, without payment or further approval of each authorized use. This permission covers only rights you own or are authorized to grant and is subject to applicable law. Maison Vin is authorized to grant social networks and contractors only the permissions necessary to publish and promote those authorized posts on our behalf, subject to the same scope and withdrawal limits. This does not grant them a separate right to use the photos for unrelated advertising.

Excluded content and other people. This promotional permission does not cover private-profile content, direct messages, followers-only content, or chats limited to accepted event participants. Those uses require separate permission. A public event does not make its participants-only chat public. Merely appearing in someone else’s photo does not give that uploader authority to consent for you. You must have the rights needed to post your content; if granting promotional rights involving another identifiable person, you must have that person’s authorization. Maison Vin must obtain any additional permission the law requires before promotional use. We will not use this permission for billboards, unrelated advertising, or to suggest that you endorse a particular alcoholic beverage or third-party business.

Attribution and ending permission. We may credit the display name or handle accompanying your photo; tell us if you prefer no credit. You may withdraw promotional permission or request removal by emailing hello@maisonvin.ai, identifying the relevant photo or asking to withdraw all promotional permission. No account is required to make a request. We will promptly stop new promotional uses and active paid promotion of affected photos and remove existing posts within our control within 30 days after receiving an identifiable request, or sooner where required by law. This is a removal period, not permission to continue paid promotion for 30 days. Withdrawal does not make earlier lawful uses unlawful. Posting again does not reinstate a withdrawn promotional permission unless you expressly renew it.

Deletion and existing posts. Deleting a photo or your account ends permission for new promotional uses of that content, and we will promptly stop active paid promotion of it. Existing ordinary social media posts lawfully published before deletion may remain under this limited license unless you also request their removal or withdraw permission, or applicable law requires removal. This exception is separate from deletion of your platform data. Copies independently saved, reposted, or cached by others may remain outside our control; we will take further steps where required by law.

Your responsibility. You are solely responsible for your Member Content. You confirm that you own it or have the rights to share it, that it is accurate, and that it does not violate any law or anyone’s rights.

No pre-screening. We do not review all Member Content before it appears. Members are responsible for their own statements, uploads, and conduct, including infringement and unlawful or offensive content. Such content does not represent Maison Vin’s views. To the fullest extent permitted by law, Maison Vin is not responsible for Member Content or members’ conduct. This does not exclude obligations or liability that applicable law places on Maison Vin.

Limited checks. Occasional moderation, support, or eligibility checks do not certify a member, event, venue, license, insurance policy, or statement. Maison Vin does not conduct systematic background, identity, venue, or safety verification. Nothing in this paragraph removes a duty imposed by applicable law.

5 Prohibited conduct

You may not use the Service to:

  • offer, solicit, advertise, sell, trade, barter, exchange, auction, or arrange the transfer of alcohol for money or anything of value, whether in posts, comments, event listings, profiles, or messages, and whether the transaction would take place on or off the Service;
  • sell admission to a member-created event, collect money for shared alcohol purchases, offer alcohol-inclusive paid packages, or disguise an alcohol sale as a donation, reimbursement, service fee, or required bottle contribution. Lawful sharing of actual food, venue, or other non-alcohol costs is addressed in Section 7.3;
  • allow, invite, or encourage anyone under 21 to use the Service or attend an event;
  • harass, threaten, stalk, bully, defame, discriminate, expose someone’s private information without authorization, or post hate speech, sexually explicit content, nonconsensual intimate images (including synthetic images or deepfakes), child sexual exploitation material, graphic violence, or other abusive content. Do not encourage impaired driving or help others evade age, safety, or venue rules.
  • send unsolicited commercial messages, spam, or scams;
  • post false, misleading, or fraudulent event, restaurant, or profile information;
  • impersonate any person or organization;
  • post content that infringes copyright, trademark, privacy, or other rights;
  • scrape, crawl, copy, or extract data from the Service, or use bots or automated tools without our written permission;
  • interfere with the Service, attempt to gain unauthorized access, or introduce malicious code;
  • use the Service for any commercial purpose (including promoting a business) without our written permission, other than a restaurant or organizer supplying factual information about its own establishment or event;
  • use the Service in violation of any law, including alcohol, advertising, and consumer-protection laws.

6 Moderation reporting and enforcement

Members can report posts, comments, events, messages, and profiles, and can block other members. Reports may also be sent to hello@maisonvin.ai, including by nonmembers. Our administrators ordinarily review routine reports four to five days each week on weekdays. Urgent intimate-image reports are monitored on weekends as well. We do not promise continuous monitoring or emergency assistance.

Blocking and reports. Blocking limits contact through available features. It does not prevent all contact, screenshots, shared-event exposure, or off-platform interaction. Submit reports honestly and in good faith. We handle report information under the Privacy Policy and disclose it only as needed for review, enforcement, safety, or law.

We review reports case by case and may remove content, warn, restrict, suspend, or terminate an account according to the seriousness of the violation. Serious violations can result in immediate termination. We provide notices, reasons, or review opportunities where required by law. To request review of a moderation decision, email hello@maisonvin.ai with the relevant account and decision details.

Prohibited alcohol-sale or exchange content will be removed when we become aware of it. Repeat or serious violations may lead to suspension or termination. We may not detect every violation; failure to remove content is not approval. Do not misuse reports to harass others or retaliate.

Urgent nonconsensual intimate-image requests. A depicted person or their authorized representative may email hello@maisonvin.ai with the subject “Urgent intimate image removal.” Include a physical or electronic signature, enough information to locate the image, a brief statement that you have a good-faith belief it was shared without consent, and contact information. You do not need an account or to own the copyright. For a valid request covered by the TAKE IT DOWN Act, we will remove the depiction as soon as possible and no later than 48 hours after receipt, and make reasonable efforts to identify and remove known identical copies. This deadline runs through weekends and holidays. We also assess other image-abuse reports under these Terms and applicable law. Do not send copies of suspected child sexual abuse material; provide its location instead. We report suspected child sexual exploitation and preserve relevant information when legally required. For immediate danger, contact emergency services.

We may also remove content or restrict accounts without a report when we believe it is necessary to protect members, third parties, or Maison Vin, or to comply with law.

7 Member created events

Maison Vin lets members create and join independent community events, including bring-your-own-bottle (“BYOB”) gatherings. Each member-created event is run by the member who creates it (the “Host”). Maison Vin does not organize or host these events. Listings for independent professional organizers are addressed in Section 9.

7.1 Host responsibilities. If you create an event, you do so independently and not on behalf of Maison Vin. You confirm and agree that:

  • you have permission to use the venue before holding the event there and, if you identify a location as confirmed, you have obtained the necessary permission. A provisional neighborhood or venue must be described as provisional until confirmed;
  • the event details are accurate and you will keep them up to date;
  • you will limit participation to people aged 21 or older;
  • you will not serve, furnish, or allow alcohol to be furnished to anyone under 21 or to anyone who is visibly intoxicated;
  • you comply with applicable alcohol, open-container, corkage, BYOB, permit, occupancy, lease, venue, and safety requirements, together with these Terms and any consistent Community Guidelines.
  • you will not sell admission to a member-created event, sell or trade alcohol, or arrange prohibited alcohol payments. Any permitted sharing of actual non-alcohol costs must comply with Section 7.3.

Hosts must use attendee and join-request information only to evaluate and manage participation in the relevant event, or for another use separately authorized by the affected person or required by law. Do not add attendees to an outside mailing list, sell their details, or disclose private event information without the necessary permission.

Hosts must promptly correct or cancel an event if it becomes unsafe, unlawful, unavailable, or materially inaccurate, and notify affected participants. Where a locked field prevents correction, contact support. A locked field does not authorize an unsafe or unlawful event.

7.2 Alcohol and host responsibility. Hosts and attendees must obey the laws applying where an event occurs. New York law can impose liability for knowingly causing or contributing to intoxication by furnishing or procuring alcohol for a person known or reasonably believed to be under 21, and for unlawful alcohol sales or assistance in procuring such sales in the circumstances covered by General Obligations Law Sections 11-100 and 11-101. Other jurisdictions may impose different duties. These Terms do not transfer or eliminate anyone’s statutory liability. Maison Vin does not perform age checks at events or supervise alcohol consumption.

7.3 Publishing and sharing costs. By publishing an event under these Terms, you accept the Host responsibilities in this section. Hosts and attendees decide directly how to share lawful, actual food, venue, and other non-alcohol costs, including direct restaurant payment or an external payment service. Maison Vin does not collect, hold, allocate, guarantee, or refund those payments and is not a party to those arrangements. Hosts must clearly explain proposed costs before members commit. This permission does not authorize alcohol sales, shared alcohol purchases, admission charges, profit-making member events, or charges used to evade alcohol laws. A payment made elsewhere remains subject to these rules.

7.4 Optional bottle suggestions. A Host may suggest a bottle style, approximate value, or score. Such suggestions are optional and must not become a required minimum, admission condition, payment, exchange, or purchase obligation. Maison Vin does not set or verify bottle values or ratings.

7.5 Public and Private events. A Public event is visible to all members. A Private event is intended for the Host’s group: anyone who receives the event link can view the event details immediately, the public event chat is closed, and participation requires a request approved by the Host. Maison Vin cannot guarantee confidentiality of a Private event or prevent recipients from sharing the link, copying information, or taking screenshots. Do not include sensitive personal information in an event listing.

7.6 Requests, waitlists, and confirmation. Hosts may accept, decline, or waitlist requests and remove participants, subject to these Terms and applicable law. Declines and removals must include a reason shown to the affected member. Major details generally lock after a participant is accepted; completing a clearly provisional venue is distinct from changing an already confirmed location. Hosts must notify accepted participants of confirmed venue details and material changes. Capacity must not be reduced below the number already accepted. Contact support if a safety issue or necessary correction requires help with locked details. The Host receives an event-confirmation reminder 72 hours before the event. “Pending Confirmation” means the Host has not yet confirmed the event, and does not automatically cancel it. Members should check with the Host before making plans. Hosts also manage comments and event-chat messages through the controls available to them. A Host’s approval does not verify age, safety, or compliance with law.

7.7 Cancellations and no-shows. Hosts and attendees who repeatedly cancel late or fail to attend may have their ability to host or join events restricted. No money is collected or refunded by Maison Vin, and no monetary penalty is ever charged by Maison Vin.

7.8 Attendee responsibilities and assumption of risk. Participation is voluntary. You are responsible for your conduct, alcohol consumption, safety, transportation, and belongings. Confirm attendance when asked, cancel early if plans change, respect the venue and staff, and discuss optional bottle suggestions with the Host. Do not furnish alcohol to anyone under 21 or visibly intoxicated. Meeting people online involves risk: use judgment, prefer public places, and tell someone where you are going. Call 911 or your local emergency number for an emergency; Maison Vin is not an emergency service. This assumption of risk does not waive rights that cannot lawfully be waived. Online and in-person interactions involve risks including unwanted contact, unsafe premises, food allergies, illness, impaired driving, assault, theft, and acts or omissions of other people. Decide independently whether to attend, share a location, consume alcohol, or arrange transport.

7.9 Maison Vin’s role. Maison Vin does not organize, operate, supervise, inspect, insure, or guarantee member-created events, venues, Hosts, or attendees. We are not a party to any arrangement between a Host, an attendee, and a venue. To the fullest extent permitted by law, Maison Vin is not liable for any injury, illness, property damage, loss, dispute, or other harm arising from or related to any event, including anything caused by alcohol consumption. To the extent legally permitted, you release Maison Vin and its members, managers, employees, and contractors from claims based solely on independent members’ or third parties’ conduct in those interactions. This release does not cover Maison Vin’s own negligence or other wrongful conduct, or any claim or remedy the law does not permit you to release.

8 Restaurant and dining information

Maison Vin publishes information about restaurants and wine bars (for example, address, hours, cuisine, price range, wine-list link, corkage fee, and whether the establishment is reported to allow BYOB). This information is provided for convenience only and is compiled from public sources, member suggestions, and the establishments themselves. It may be incomplete, outdated, or wrong.

Corkage fees and venue policies vary and may change. Permission from a restaurant alone does not establish that BYOB is lawful. Licensing and other legal requirements depend on the premises and circumstances; New York’s bottle-club rules can apply to certain unlicensed premises operated for profit or pecuniary gain with capacity for 20 or more people. Hosts and attendees must confirm current venue permission and applicable legal requirements before bringing alcohol. A directory label is not verification of licensing or legality.

“Advised by us” identifies an independent editorial selection by Maison Vin. It is not a certification, inspection, or guarantee of quality, safety, licensing, or availability. Other labels, such as “Popular,” may reflect member activity or display logic. Maison Vin currently receives no payments, commissions, complimentary wine, or meals from restaurants in exchange for listings or recommendations. Any future paid placement or material sponsorship will be identified. Confirm prices, policies, and reservations directly with the establishment. Maison Vin does not inspect establishments or guarantee their food, service, safety, licensing, insurance, pricing, or policies, and is not a party to your dining arrangement. The limitations in Sections 15 and 16 apply subject to mandatory law.

If you believe information is wrong, use “Suggest an edit” where available or email hello@maisonvin.ai. We will review credible correction and removal requests within a reasonable time.

9 Third party events and organizers

Maison Vin may list independent third-party tastings, dinners, fairs, and classes using information from organizers or public sources. Descriptions may be prepared with AI assistance and may contain errors; they are not guaranteed to have been independently verified. Check the organizer’s current details, including dates, price, age restrictions, availability, and cancellation terms. Maison Vin does not organize these events or sell their tickets. Any ticket purchase, payment, cancellation, or refund is directly with the organizer or its provider under their terms.

10 External links and third party services

The Service contains links to third-party websites and services, including restaurant websites, wine lists, reservation platforms, ticketing platforms, and members’ external wine or cellar profiles. When you follow one of these links you leave Maison Vin, and the third party’s terms and privacy policy apply. Maison Vin does not process reservations, tickets, payments, or external-profile access, is not affiliated with or endorsed by any linked service unless expressly stated, and is not responsible for their content or practices.

Members may add a link to their public external wine or cellar profile. Maison Vin displays only the link you provide; it does not import, copy, or cache that content. Whether other members can view it depends on the external service and on your settings there. The linked profile must be shared under that service’s settings. Viewers sometimes need their own account and sign-in there. Links must not bypass paywalls or access controls, misrepresent affiliation, or violate applicable rights or contractual restrictions.

11 Intellectual property

Maison Vin owns its software, original text and designs, branding, and other material it creates or acquires, subject to applicable law and third-party rights. Member Content and third-party photos, text, names, and marks remain the property of their respective owners. Except for your own content or as allowed by law or the rights holder, you may not copy, modify, distribute, sell, or create derivative works from protected material on the Service.

Public availability does not itself grant permission to reuse a photo or other protected material. Members must respect copyright, privacy, and source restrictions when contributing material or links. Inclusion of a third-party image or listing does not imply that its owner endorses Maison Vin.

12 Copyright complaints DMCA

We respect copyright and accept infringement complaints at hello@maisonvin.ai (subject “Copyright complaint”) or by mail to Maison Vin LLC, Copyright Contact, 200 E 21st Street, New York, NY 10010, USA. Please include: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) the location and identification of the allegedly infringing material; (4) your name, address, telephone number, and email; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or law; and (6) a statement that the notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.

We act expeditiously on valid notices, including removing or disabling access where appropriate, and notify the member who posted the material. A member seeking restoration may send a counter-notice with their signature; identification and former location of the removed material; a statement under penalty of perjury that removal resulted from mistake or misidentification; their name, address, and telephone number; consent to the jurisdiction of the federal district court for their address (or, if outside the United States, a district where Maison Vin may be found); and agreement to accept service from the complainant or its agent. We provide the complainant with a copy of a qualifying counter-notice, including its identifying and contact details, as part of that process.

Where the DMCA counter-notice procedure applies, we forward the counter-notice to the complainant and may restore eligible material between 10 and 14 business days after receipt unless notified that the complainant has filed an action seeking a court order concerning the alleged infringement. We may separately keep material removed for other violations of these Terms. We terminate repeat infringers in appropriate circumstances. Knowingly materially misrepresenting infringement or mistake may result in liability.

13 Privacy and visibility settings

Our Privacy Policy explains collection, access, use, disclosure, and deletion of personal information. Respect other people’s work and privacy: do not share private messages, event links, screenshots, personal information, or photos beyond their authorized audience without permission. Public or followers-visible material can be saved or reshared by its viewers. Private-event links can expose listing details to anyone who receives them; a private label is not a guarantee of secrecy. Authorized administrators and developers may access information, including messages, for the limited purposes described in the Privacy Policy.

14 Suspension termination and account deletion

We may suspend or permanently terminate your account, remove your content, or restrict features at any time if you violate these Terms or the Community Guidelines, if we receive credible complaints, if required by law, or if we believe your conduct harms other members, third parties, or Maison Vin. You must not evade a restriction or ban by creating another account or using someone else’s account. Any reactivation remains subject to our enforcement decisions and eligibility rules.

You may delete your account in Account Settings or by contacting hello@maisonvin.ai. Your profile and content stop being visible promptly. Unless you reactivate during the 30-day recovery period, your account data and content are permanently deleted by the end of that period, including messages in other members’ conversations and copies held by our providers and in backups. Limited legally necessary records, genuinely anonymous statistics, and existing authorized social media posts are addressed separately in the Privacy Policy and Section 4. Account deletion does not automatically withdraw permission for ordinary social posts already lawfully published; email us to request their removal.

Sections 4 (license for content already used), 5, 7.9, 11, 12, 15, 16, 17, 18 and 20 survive termination.

15 Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Maison Vin disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We make no promises about the conduct of members, Hosts, venues, or organizers, the accuracy of any information on the Service, or the outcome of any event, meeting, or reservation. Nothing on the Service is legal, medical, or investment advice, including any bottle value or score.

Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

16 Limitation of liability

To the fullest extent permitted by law, Maison Vin LLC and its members, managers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, reputation, or opportunity, arising from or related to the Service, any Member Content, any event, restaurant, organizer, or third-party service, or these Terms, even if advised of the possibility of such damages.

Our total liability to you for all claims arising from or related to the Service or these Terms will not exceed one hundred US dollars (US $100) or the amount you paid Maison Vin in the 12 months before the claim, whichever is greater. Because the Service is free, that amount will usually be US $100.

These limits do not apply to liability that cannot be limited by law, including liability for gross negligence, willful misconduct, or fraud. They also do not reduce Maison Vin’s obligation to pay arbitration fees allocated to it under Section 18.

17 Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Maison Vin LLC and its members, managers, employees, and contractors against third-party claims, damages, liabilities, and reasonable defense costs caused by your unlawful or infringing Member Content, your breach of these Terms, your violation of another person’s rights, or your negligent or wrongful conduct in organizing or attending an event. This obligation does not arise merely because you attended an event and does not cover loss caused by Maison Vin’s own negligence, willful misconduct, or other responsibility that cannot lawfully be shifted to you.

We will give reasonably prompt notice of a covered claim and cooperate reasonably in its defense. Where lawful, we may require you to defend the claim using reasonably acceptable counsel, or control the defense ourselves where reasonably necessary. You may not settle a claim in a way that admits fault for Maison Vin or imposes obligations on it without our written consent, which will not be unreasonably withheld.

18 Governing law and disputes

18.1 Governing law. New York law and applicable US federal law govern these Terms, without regard to conflict-of-law rules. This choice does not deprive you of mandatory consumer or privacy protections, or access to a court, that applicable law does not allow you to waive.

18.2 Informal resolution. Before commencing arbitration, either party must give the other written notice describing the dispute and requested relief, and allow 30 days for a good-faith attempt to resolve it. Send your notice to hello@maisonvin.ai; we will send ours to your account email. Applicable limitation periods are paused during this process to the extent legally permitted. This process does not prevent a small-claims filing, an agency complaint, or urgent court relief where available.

18.3 Binding individual arbitration. Except as stated below, you and Maison Vin agree to resolve disputes arising from the Service or these Terms by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules before one neutral arbitrator. The Federal Arbitration Act governs this arbitration agreement. The rules and filing information are available at https://www.adr.org/industries/consumer/ (opens in a new tab). AAA’s applicable supplementary procedures govern coordinated individual filings without converting them into a class proceeding. Either party may request a remote hearing; any in-person location must comply with AAA consumer rules and applicable law and be reasonably convenient for you. The arbitrator may award relief available to an individual in court, subject to applicable law. A court with jurisdiction may enter judgment on the award.

Maison Vin will pay arbitration administration and arbitrator fees allocated to the business by AAA’s consumer rules and any additional amount required by applicable law. Your filing responsibility will not exceed the consumer amount permitted by those rules and law. Each side ordinarily bears its own lawyers’ fees, unless applicable law or a lawful award provides otherwise. If AAA declines administration because Maison Vin has not complied with its consumer requirements, you may pursue the dispute in a court with jurisdiction. If AAA is otherwise unable to administer the dispute, either party is entitled to proceed in court under Section 18.6 unless both agree in writing, after the dispute arises, on another neutral provider.

18.4 Exceptions. Either party may bring an eligible individual claim in small-claims court where permitted by its jurisdictional rules. Either may seek temporary court relief needed to preserve rights pending arbitration. This section does not prevent reports to regulators or law enforcement, require arbitration of disputes that cannot lawfully be subjected to predispute arbitration, or waive nonwaivable remedies. For example, the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act may allow a claimant to elect court proceedings.

18.5 Individual proceedings. To the extent permitted by law, you and Maison Vin waive jury trial for arbitrable disputes and agree to bring claims individually, not as a class plaintiff, class member, or representative of others. This does not waive nonwaivable rights to public injunctive or other relief. If this waiver is unenforceable for a particular claim or remedy, that portion proceeds in court; any remaining arbitrable claims may proceed individually. Class arbitration is not authorized without both parties’ written agreement after a dispute arises.

18.6 Opt-out. You may opt out of the arbitration agreement and the individual-proceedings waiver by emailing hello@maisonvin.ai within 30 days after first accepting these Terms, stating your name, account email, and that you opt out of arbitration. Opting out does not affect your use of the Service. For disputes properly proceeding in court, the state or federal courts in New York County, New York have exclusive jurisdiction, except where mandatory law or the small-claims exception allows another court.

18.7 Time limits and authority. Statutory limitation periods apply. Courts decide whether this arbitration agreement exists and is enforceable, including any challenge to the individual-proceedings waiver. Other issues within an arbitrable dispute are for the arbitrator, subject to applicable law.

19 Changes to the Service and Terms

We may update these Terms from time to time. When we do, we will change the version number and effective date at the top of this page and keep prior versions available on request. For important changes we will give notice through the Service or by email before the changes take effect. Your continued use of the Service after the effective date means you accept the updated Terms; if you do not agree, delete your account before that date. Where the law requires it, or where we make a fundamental change, we will ask you to accept the new Terms before continuing to use the Service. Changes to the dispute provisions will not apply retroactively to a dispute already notified or filed without both parties’ express agreement.

Service changes. We reserve the right to modify, suspend, or discontinue features or the Service, subject to applicable law and any commitments already made to you. We will give reasonable advance notice of a material discontinuation where practicable, with account-data access and deletion rights governed by the Privacy Policy. Urgent security, safety, or legal action sometimes requires immediate changes.

20 General

These Terms, including their community rules, form the agreement about use of the Service. The Privacy Policy explains our data practices. Any separately published Community Guidelines supplement these Terms; if they conflict, these Terms control, subject to applicable law. If a provision is unenforceable, the remaining provisions stay effective, subject to Section 18. Failure to enforce a provision is not a waiver. You may not assign your agreement without our consent; we may transfer it with the business, subject to your mandatory rights. Notices may be sent to your account email or displayed in the Service. No partnership, agency, employment, or joint venture is created. English is the original language; mandatory local-language rights remain unaffected.
